     Chapter I General Provision
Article 1: The Organization is registered as US-China Guangdong Chamber of Commerce which is abbreviated as USCGCC for short, and named as US-China Guangdong Chamber of Commerce (USCGCC) as well as in English.
Article 2: The USCGCC is a non-political, non-religious, non-profit civil organization comprising of Guangdong and US industrial and commercial enterprises and as well as in other places.
Article 3:The USCGCC is a legal person, which may conclude agreements, protocols and any other documents on the promotion of trade, investment and economic and technical cooperation with the relevant organizations and institutions of all countries and regions as well as international organizations.
Article 4: The USCGCC take the China Council for the Promotion of International Trade (CCPTI) Guangdong Sub-Council & China Chamber of International Commerce (CCOIC) Guangdong Chamber of Commerce as its strategic cooperative partners in China.
Article 5: The USCGCC is domiciled in Los Angeles.
Chapter II Tenet
Article 6: The Tenet of the USCGCC is that the USCGCC shall, according to the law, regulations and politics of the United States of American and by referring to international conventions, carry out the relevant activities to promote the trade, investment and economic and technical cooperation between US and Guangdong China and other regions all around the world and to promote the mutual understanding and friendship between the US people and the people of Guangdong China as well as their economic and trade sectors.
Chapter III Functions and Duties
Article 7: Collecting, translating and editing the laws and regulations of relevant economic and financial, customs and tax; collecting, straightening out, delivering and publicizing the relevant economic and trade information; contracting the relevant parties and organizing the economic and trade talks as technical exchanges; providing the relevant training information, the economic and trade information, consulting and credit investigation to the relevant laws and regulations.
Article 8: Providing law consulting services for its members; assisting its members to resolve relevant investment and trade disputes and protecting the rights of its members according to relevant laws and regulations.
Article 9: Hosting all kinds of activities to strengthen the mutual understanding and friendship, and also to promote the exchange and cooperations of its members.
Article 10: Organizing its members and the US enterprises to visit Guangdong province and other places in China; conducting all kinds of economic and trade activities; receiving the visit of personage and delegations from Guangdong province and other places in China, and assisting them to take the economic and trade activities in the U.S..
Article 11: Assisting Guangdong Provincial Government, CCPTI Guangdong Sub-Council and CCOIC Guangdong Chamber of Commerce with all kinds of economic and trade activities, and manage the events; assisting the U.S. Government for the promotion of the trade and economic cooperation with China.
Chapter IV  Members
Article 12: Any American and Chinese personage and enterprise involved in trade and economic cooperation may upon application and approval, then become the member of the USCGCC.
Article 13: The right to attend member representative conference, to elect and the right to be selected;
Article 14: The right to obtain services offered by USCGCC;
Article 15: The right to ask USCGCC to provide the statement of finance and assets of the USCGCC by writing;
Article 16: To propose feasible suggestions to USCGCC to promote the development according to USCGCC's Tenets;
Article 17: The obligation to implement the tenets and the resolutions of USCGCC representative conference;
Article 18: The obligation to pay fees according to regulations;
Article 19: Members should safeguard repute, right and interest of the chamber and promote the union and cooperation among the members by helping each other and sharing the mutual interests;
Article 20: All the members should abide the following clauses:
1. Members should abide the laws and regulations in their countries when they take business and trade activities;
2. Members must summit its written registration to the president of the chamber, and the registration shall be valid from the signed date;
3. The chamber shall inform. the members to be deprived of membership in written when the members who violate the provisions of the chamber or the chamber council considers the members have misbehaviors, have no corrections after persuasions in written, and the termination of membership shall be valid from the date the notice issue;
4. Members can't engage in any activities in the chamber's name with no permission of chamber council;
5. Membership shall be eliminated automatically in the following situations: resignation from the member company; closedown or business termination of the member company; or member fees overdue over one year.
6. When the representative of member company leaves the company, his/her successor can qualify the membership.
7. Once the member lose the membership, they can't share the right offered by the chamber to its members and the chamber shall not return the member fees.
Chapter V  Organization
Article 21: The Member Congress of the USCGCC represents the supreme power of this organization. Representatives of the chamber's Member Congress are the persons who are in charge of the member units. Duties of the Member Congress are as follow:
1. Examining, approving, revising and authorizing to adopt the bylaw of the USCGCC.
2. Examining, approving, and authorizing the annual budget of the chamber, and final accounts of the year
3. Nominating and electing new council member of the chamber.
4. Examining, approving other significant items of the chamber
Article 22: To convene the Member Congress, there must be 2/3 or more members to attend the meeting. The approval of one item and one election must get more than half of the votes from all the representatives attending the meeting.
Article 23: There is a council of the chamber under USCGCC. The members of the council are elected from the Member Congree. The council of the chamber is a standing body composed of president, vice president, secretary in general, supervisor, chief financial officer, legal adviser and other council members. The duties of the council are as follow:
1. Carrying out resolutions passed by Member Congress.
2. Authorizing chief financial officer the right to use funds of the chamber
3. Proposing draft revision to the bylaw of the USCGCC 
4. Planning, preparing and implementing various activities which are organized by the chamber or co-organized by the chamber.
5. Offering internal information communication
6. Managing the assets of the chamber
Article 24: the president of the US-China Guangdong Chamber of Commerce is designated to exercise the duties representing the chamber. And the vice president shall exercise the president's duties in the president's absence. The president shall be elected by members of the council. The duties of the president are as follow:
1. Presides all conventions of the chamber.
2. Signs documents in the name of USCGCC, or authorizes the vice president to sign.
3. Submits the annual work report to the chamber.
4. Guides the work of the congress of the chamber.
Article 25: The US-China Guangdong Chamber of Commerce designates honorary presidents who make significant contributions to the chamber and are elected by the council.
Article 26: The chamber assigns several vice presidents, secretary in general, chief financial officer, chief supervisor, legal consultants and council members who are selected and pointed from member of the council by the president.
Article 27: Every term of the council is 3 years, and may serve another term till the next representative congress elects a new council.
Chapter VI Convention
Article 28: The chamber holds member congress regularly every year. The council convention, which is presided in the early January by the president, will confirm when and where to hold the member congress and what issues to be discussed on the congress. This event is scheduled to open in the second week of March annually, with final confirmation subject to real situation.
Article 29: The president, vice president and secretary in general of the chamber may hold provisional member conventions when necessary.
Chapter VII Funds
Article 30: The chamber members are tentative to pay an annual membership fee to be paid by individual member is USD 100, by corporate member is USD 300, by silver corporate member USD600, by corporate gold member USD 1000. The member representatives will audit annual expenses plan of the chamber every year, discuss and approve new annual membership fee standard based on the development and basic requirement of the chamber. Insufficient annual fees can be sponsored by members or funded through chamber activities. Annual membership fees of new members can be paid monthly after date of acceptance as member.
Article 31: The members should pay annual fee on January 1st each year. If overdue six months, membership will be canceled automatically.
Article 32: Should the chamber be short of funds, after discussion and agreement among the president, vice president, secretary in general and chief supervisor, the chamber may resort to fundraising from the members.
Article 33: The chamber can accept legal and unconditional donation or grant its members and outsiders.
Article 34: The financial statement of the chamber shall be reviewed by the chief supervisor at any time and reported to every members congress by the chief supervisor for approval.
Chapter VIII Supplementary Articles
Article 35: The Bylaw of the US-China Guangdong Chamber or any revised bylaw which needs to be passed at the member congress, and this information can be shared with the strategic cooperative partners.
Remarks: The Bylaws of USCGCC has been approved by all the members of the first Section of the Member Congress in Los Angeles of the U.S.A.
